Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between your firm (“Client”) and Finaceverse Technologies Pvt. Ltd. (“Finaceverse”, “we”, “us”) governing your access to and use of the Audric platform and related services (collectively, the “Service”).
By creating an account or using the Service, you confirm that you are authorised to bind your firm to these Terms. If you do not agree, do not use Audric.
2. Description of Service
Audric is an AI-powered compliance and audit intelligence platform designed for professional accounting and audit firms. The Service includes document analysis, regulatory compliance checking (IFRS, Ind AS, AML, GDPR, and others), mathematical casting, audit workflow management, and related features as described in your subscription plan.
Audric is a professional tool designed to assist qualified auditors and accountants. Outputs from the Service are advisory in nature and do not constitute legal, financial, or regulatory advice. Your firm remains solely responsible for all audit opinions, conclusions, and regulatory filings.
3. Subscriptions & Payment
3.1 Plans
Audric offers multiple pricing tiers (Boutique Utility, Busy Season Pass, Enterprise SaaS) as detailed on our pricing page. Plan features, page quotas, and billing terms are as specified at the time of purchase.
3.2 Payment
Fees are billed in Indian Rupees (INR) and are non-refundable except as required by law or as explicitly stated in your order form. For pay-per-page plans, billing is monthly based on pages processed. For upfront plans, payment is due at purchase.
3.3 Overages
Pages processed beyond your plan's included quota are billed at the applicable per-page overage rate at the end of the billing period.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable regulations
- Upload documents you do not have the legal right to process
- Attempt to reverse-engineer, decompile, or extract AI model weights
- Circumvent access controls or share credentials across firms
- Use Audric outputs to mislead clients, regulators, or auditing bodies
- Resell or sublicence the Service without written authorisation from Finaceverse
- Conduct automated scraping, crawling, or load-testing of the platform
5. Intellectual Property
The Audric platform, including its AI models, algorithms, UI, and documentation, is owned by Finaceverse and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You retain all rights to documents and data you upload (“Client Data”). By uploading Client Data, you grant Finaceverse a limited, non-exclusive licence to process it solely to provide the Service to your firm.
6. Data & Security
Our collection and use of your data is governed by our Privacy Policy. We implement SOC 2 Type II aligned controls including encryption at rest (AES-256), encryption in transit (TLS 1.3), RBAC, and continuous monitoring. You are responsible for maintaining the security of user credentials within your firm.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FINACEVERSE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE 100% ACCURATE. AUDRIC IS A DECISION-SUPPORT TOOL; PROFESSIONAL JUDGEMENT BY QUALIFIED PRACTITIONERS REMAINS MANDATORY.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINACEVERSE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOUR FIRM IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL FINACEVERSE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
9. Termination
Either party may terminate this agreement on 30 days' written notice. We may suspend or terminate your access immediately for material breach of these Terms, non-payment, or if required by law. Upon termination, your right to access the Service ceases. You may request an export of your Client Data within 30 days of termination.
10. Governing Law & Disputes
These Terms are governed by the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India. Before commencing legal proceedings, the parties agree to attempt good-faith mediation for a period of 30 days.
11. Changes to Terms
We may revise these Terms periodically. We will provide at least 14 days' notice of material changes via email to your firm administrator. Continued use after the effective date constitutes acceptance.
